       随着数字技术的不断发展,消费者的消费方式更加多元化,传统实体零售和网络电商零售都无法契合消费者消费习惯的转变,发展受到巨大冲击止步不前,均迫切需要引入创新动能,探索挖掘新的盈利增长点以保证未来发展。此时,新零售及数字化转型概念的提出,为零售企业的长远发展提供思路,构建线上线下一体化销售渠道成为未来商业发展的必然结果,并在零售行业发展中扮演着重要角色,随着数字技术的深入研发,新零售企业将逐渐增加,数字化转型程度也会不断提高。作为数字经济发展下的新兴产物,选择合理的价值评估方法对新零售数字化转型企业价值进行科学合理的评估尤为必要,不仅可以得出准确的评估结果,为投资者提供价值信息以规避风险,还可以为管理者的决策提供一定的参考。

       本文在界定新零售数字化转型企业及企业价值相关概念的基础上,综合资本成本理论、动态现金流量理论、竞争均衡理论及新零售之轮理论构成企业价值评估的理论框架,应用文献研究法、案例研究法和定量定性分析相结合的方法对居然之家的企业价值进行评估。通过收集到的资料对新零售数字化转型的发展趋势、居然之家新零售数字化发展现状和财务状况进行分析,结合新零售数字化转型特征和实际情况对不同估值方法进行了适用性分析,发现收益法中的FCFF模型更适合评估此类企业的价值。同时,为完善FCFF模型在新零售数字化转型企业价值评估中的应用,本文在分析FCFF模型改进原因的基础上,优化折现率的计算方法并引入层次分析法来量化分析影响企业发展的非财务因素,构建适用于评估新零售数字化转型企业价值的改进FCFF模型,并对居然之家的企业价值进行评估。在通过对市场法评估结果、传统FCFF模型评估结果及改进FCFF模型评估结果对比分析的基础上,验证说明改进FCFF模型用于评估新零售数字化转型企业价值的有效性及准确性,并在此基础上提出在进行企业价值评估时要结合企业发展状况选择评估模型、运用恰当合理的折现率、考虑非财务影响因素的启示。本文的研究不仅提出适用于评估新零售数字化转型企业价值的改进FCFF评估模型,丰富FCFF模型的应用范围,还可以为同类企业价值评估工作提供参考借鉴。

    With the continuous development of digital technology, consumers' consumption patterns are more diversified, and traditional brick-and-mortar retail and online e-commerce retail cannot meet the changes in consumer consumption habits. At this time, the concept of new retail and digital transformation is proposed, providing ideas for the long-term development of retail enterprises, and building online and offline integrated sales channels has become the inevitable result of future business development, and plays an important role in the development of the retail industry. As an emerging product under the development of the digital economy, it is particularly necessary to choose a reasonable value evaluation method to scientifically and reasonably evaluate the enterprise value of the digital transformation of new retail, which can not only obtain accurate evaluation results, provide investors with value information to avoid risks, but also provide a certain reference for managers' decision-making.

    Based on the definition of the concepts related to the digital transformation of new retail enterprises and enterprise value, this paper synthesizes the theory of cost of capital, the theory of dynamic cash flow, the theory of competitive equilibrium and the theory of the wheel of new retail to form the theoretical framework of enterprise value evaluation, and uses the methods of literature research, case study and quantitative and qualitative analysis to evaluate the enterprise value of the company. Through the collected data, the development trend of new retail digital transformation, the current situation and financial status of new retail digital development are analyzed, and the applicability of different valuation methods is analyzed based on the characteristics and actual situation of new retail digital transformation, and it is found that the FCFF model in the income method is more suitable for evaluating the value of such enterprises. At the same time, in order to improve the application of the FCFF model in the enterprise value evaluation of the new retail digital transformation, this paper optimizes the calculation method of the discount rate and introduces the analytic hierarchy process to quantitatively analyze the non-financial factors affecting the development of the enterprise, constructs an improved FCFF model suitable for evaluating the enterprise value of the new retail digital transformation, and evaluates the enterprise value of the company. Based on the comparative analysis of the evaluation results of the market method, the evaluation results of the traditional FCFF model and the evaluation results of the improved FCFF model, the effectiveness and accuracy of the improved FCFF model for evaluating the enterprise value of the digital transformation of new retail are verified and explained, and on this basis, the enlightenment of selecting the evaluation model, using an appropriate and reasonable discount rate, and considering non-financial influencing factors should be put forward in the evaluation of enterprise value. The research in this paper not only proposes an improved FCFF evaluation model suitable for evaluating the enterprise value of new retail digital transformation, but also enriches the application scope of the FCFF model, and can also provide reference for similar enterprise value evaluation work.
